Our Corporate Law area provides secure, efficient and innovative legal solutions for our clients and their business of interest. Our firm has a multidisciplinary corporate team, qualified to assist its clients in diverse legal transactions. This area provides services in clients’ day-to-day corporate matters as well as in specific and complex operations.

Among other activities, our corporate practice comprises:

Incorporation of companies of various types foreseen under Brazilian Corporate Law (limited liability companies, corporations and other corporate types, special partnerships, specific purpose companies, consortiums, associations, foundations, cooperatives, and also structuring and incorporating Brazilian startups);
Management of clients’ corporate day-to-day work, including among others the drafting, evaluation and revision of documents (Minutes of Shareholders General Meetings, of Board Meetings, of Board of Directors Meetings and of Audit Committee Meetings, in addition to the organization, control and update of corporate books required under the Brazilian corporate law);
Negotiation and drafting of Stockholder and Shareholders’ Agreements, Voting Agreements, Stocks Purchase and/or Sale Option Agreements, Memorandum of Understanding (MOU), Non-Disclosure Agreements (NDA), Letter of Intentions (LOI), among others;
Guidance, Participation and Holding of Ordinary and Extraordinary General Meetings, as well as Shareholders’ Meetings, Directors’ Meetings, Board of Directors’ Meetings and Audit Committee Meetings, among others;
Consultancy in risk assessment and in designing and structuring corporate transactions and commercial projects, in several segments;
Structuring and implementation of corporate reorganization operations whether consisting of specific or complex corporate restructuring (e.g.: merger, acquisition, spin-off, corporate incorporation, assets drop down);
Drafting of corporate documents for the dissolution, liquidation and extinguishment of companies in general;
Designing Joint Ventures;
Advising clients in the implementation of measures necessary for the adoption of the best corporate governance practices;
Assistance and consultancy for determining liabilities of statutory management members of companies in general (revision and drafting of comfort letters and of D&O insurance policies).
